Terms and Conditions

This document outlines the terms and conditions ("Terms") governing the use of the white-labeled digital platform ("Platform") provided to a Real Estate Developer ("Developer"), developed and maintained by VGlence Enterprises Pvt. Ltd. ("VGlence", "we", "our", "company" or "us"), and accessed by the End User ("User").

By accessing or using this Platform, all parties agree to the following terms:

1. Parties Involved:

1.1 Developer

The real estate entity or individual who has subscribed to the VGlence platform for digital enablement of a plotted layout project.

1.2 VGlence Enterprises Pvt. Ltd.

A technology provider offering white-labeled web and mobile platforms for real estate developers under a B2B model. VGlence is not a real estate agent, aggregator, or legal advisor.

1.3 End User

Any person (including but not limited to plot buyers, co-owners, layout residents, or related stakeholders) who accesses the platform provided by the Developer and powered by VGlence.

2. Platform Description:

The Platform is a white-labeled digital product tailored to the Developer's layout. It enables:

• Digital access to layout and plot details
• Document upload and storage (Document Vault)
• Co-owner/community visibility and communication
• Sales assistance and enquiry tracking
• Layout summary dashboards
• Secure document storage
• Support for English and multiple regional languages

All branding, logos, and project-specific content are owned by the respective developer. The software infrastructure is managed by VGlence.

3. Platform Ownership & Branding:

The Platform is white-labeled. While branded in the Developer's name, all underlying software, technology, and intellectual property remain the sole property of VGlence.

4. Roles and Responsibilities:

4.1 Developer

• Owns the project-related content (plots, documents, layout details, etc.)
• Manages user onboarding and identity verification
• Controls platform access for their specific layout

4.2 VGlence

• Provides the software infrastructure and ensures digital platform uptime
• Ensures data is encrypted and securely hosted
• Does not verify the legal ownership and physical presence of any plot, property and Individual
• Offers technical support to Developer and basic user support through the app
• Does not verify legal owner or validate document contents

4.3 End User

• May view, upload, and manage documents related to their plot
• Controls visibility to other users within the same layout
• Acknowledges that access to a plot's data does not constitute legal ownership proof

5. Restrictions/Prohibitions:

• The User is prohibited from making any unauthorized commercial use of the Service.
• The User shall comply with all applicable laws of India relating to the services.
• Only authorized users have the right to use the services.
• The User is prohibited from downloading other users' data and information.
• The User shall not infringe upon the intellectual property rights of any person or party.
• The User shall not use the services for unlawful or fraudulent purposes.
• The User shall comply with the terms and conditions after entering into the agreement.
• In case of breach, the Company reserves the right to delete any violating material, suspend or deactivate the User's access, and pursue legal remedies.
• The Company strongly opposes spam and related activities.
• Unauthorized access attempts are prohibited.
• Hacking other users' credentials is prohibited.
• The company shall not be legally bound if the plot details provided are inaccurate.
• If the plot owner inaccurately describes the boundaries, and subsequently a customer purchases the plot relying on this information, the company shall not be legally bound in such circumstances.
• The developer is the sole custodian of the data. No other party has the right to maintain this data. The company shall not be legally bound if unauthorized parties maintain the data.
• If there are inaccuracies in the layout provided, the company shall not be legally bound for such inaccuracies.
• The legal binding of plot ownership is not guaranteed by the company.
• Our engagement is with the app, which serves as the link between us and the customers.
• The names listed in the specified plot should not be considered as the actual owners, as the information exists in a virtual format.

6. Obligations and Representations of User/Subscriber:

• The User must provide accurate and complete registration data for the Services.
• The User is responsible for safeguarding their ID and password.
• The User must review updated terms and conditions periodically.
• The User must read the terms and conditions thoroughly before agreeing to them.
• The User shall not disclose their personal ID and password or their activities under their user ID.
• The User must follow the Company's instructions.
• The User is responsible for any incorrect information entered.
• The User is solely responsible for their personal data.

7. Third-Party Sharing:

We do not sell or rent your personal data. However, certain third-party service providers may be engaged to support platform functionality. These may include:

• Cloud storage providers (e.g., AWS, Google Cloud)
• Analytics tools for app performance monitoring
• Communication APIs (e.g., SMS or email gateways)

These providers:

• Have access only to the data required to perform their services
• Are contractually obligated to maintain confidentiality and data security
• Are not permitted to use your data for their own marketing or commercial purposes

No third-party has direct access to your plot, layout, or ownership data unless authorized by you or required by law.

8. Cross-Border Utilization:

While the Platform is primarily designed for users and Developers located in India, users may access the platform from outside India. In such cases:

• Your data may be accessed, viewed, or stored on servers located outside your jurisdiction, subject to the laws of the server location.
• By using the Platform from any location outside India, you consent to the transfer, storage, and processing of your information in accordance with this Privacy Policy and Indian data protection regulations.
• VGlence ensures that any cross-border data transfers adhere to appropriate safeguards, including secure encrypted connections and access controls.

9. Legal Disclaimer and Ownership Clarity:

• The Platform is a digital facilitation tool and is not a substitute for legal due diligence or government-issued property verification.
• Accessing this Platform does not confirm or validate plot ownership for any User.
• Only government-issued documents and legal registrations serve as valid evidence of property rights.
• Neither the Developer nor VGlence guarantees the accuracy, legality or enforceability of the content shared via this Platform.
• All data is for informational and communication purposes only.

10. Document Storage and User Privacy:

• Users and Developers may upload and access layout-related documents.
• VGlence encrypts all user and plot data, but does not validate the authenticity of any document.
• User visibility to other co-owners is optional and fully controlled by the User.
• No personal or plot-specific data is visible to unrelated third parties.

11. Currency & Transaction Disclaimer:

1. The Platform may display estimated transaction values, project milestones, or pricing indicators. These values:
   • Are for reference only
   • Do not represent actual currency or enforceable transactions
   • Are not legally binding
2. We do not facilitate payments, registrations, or monetary transactions.

12. User Conduct:

1. You agree not to:
   • Share false or misleading information
   • Impersonate other users
   • Harass, threaten, or abuse others via the Platform
   • Upload malicious files or content
   • Violate applicable laws while using the Platform
2. Violations may result in suspension of access or reporting to legal authorities.

13. User Access and Visibility Settings:

• Only verified plot owners will gain access to their respective plot information.
• Verified plot owners may choose to make themselves visible to other owners within the same layout, and this is entirely at their discretion.
• No user profile is publicly visible by default.

14. Co-Owner Connect and Information Sharing

• The Platform offers a Co-Owner Connect feature that enables users within the same layout to identify and optionally interact with neighbouring plot owners.
• User contact information and plot details are never shared by default.
• A user must explicitly consent via in-app settings before their profile (name, plot number, contact details) becomes visible or shareable to co-owners.
• Once consent is granted:
  • The consenting user's details may be shared only within the layout and only with other users who have also granted similar consent.
  • Shared data is accessible for community awareness and communication, not for commercial or unsolicited use.
  • Users may withdraw consent at any time via their privacy settings. This will immediately restrict visibility and sharing of their data with others.

15. Confidentiality and Security:

• VGlence implements industry-standard security protocols, including encryption, secure hosting, and access control measures.
• However, Developers are responsible for data accuracy, authenticity, and for safeguarding access credentials to the Platform.

16. Fees and Subscriptions:

Usage of the Platform is subject to a subscription agreement between VGlence and the Developer. Terms of payment, duration, and service scope are governed by this agreement.

17. Data Protection and Confidentiality:

• VGlence uses secure cloud infrastructure and implements industry-standard encryption and security measures.
• Developers are responsible for maintaining confidentiality of project-specific data.
• Users are responsible for their own login credentials and access devices.

18. Limitations of Liability:

Neither VGlence nor the Developer shall be held liable for:

• Any direct or indirect loss arising from data inaccuracies or unauthorized document uploads
• Legal disputes concerning plot ownership or transfers
• Legal disputes between developers and plot owners or between users
• Losses from platform unavailability, service disruptions, or misuse
• All use of the Platform is at the sole discretion and risk of the User.
• Any claims of ownership arising from Platform content or user interactions
• Any indirect or consequential damages

Use of the Platform is at your own risk.

19. Maintenance:

We may deactivate or suspend services for maintenance, upgrading, testing, repairs or related work without specifying reasons. The Company shall not be liable for any loss or damage suffered by the User.

20. Termination:

• Users may deactivate their profile at any time through the app or by contacting the Developer.
• Developer or VGlence may suspend access for misuse, violations of these Terms, or upon layout exit.
• VGlence may discontinue services if the Developer's subscription lapses or is terminated.
• The Developer's subscription shall remain in force for a period of eighteen (18) calendar months commencing from the date of initial subscription, upon the expiry of which it shall automatically terminate without the requirement of any further notice.

21. Updates to Terms:

• These Terms may be updated periodically. You will be notified of significant changes through the Platform. Continued use after updates constitutes acceptance of the revised Terms.
• It is the User's responsibility to periodically review the latest Terms of Use.
• Users may contact the Company for clarification of any points they do not understand in the terms of use.

22. Waiver:

The Company's failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

23. Errors and Inaccuracies:

Occasionally, typographical errors or inaccuracies may occur. The Company reserves the right to correct such errors without notice. Users may report errors or inaccuracies to the Company.

24. No Interpretation:

• These Terms and Conditions, including any definitions, obligations, restrictions, representations, updates, discontinuation of services, maintenance provisions, errors and inaccuracies clauses, limitation of liability, waiver, acknowledgment and acceptance, and governing law sections, shall be construed and interpreted in accordance with their plain meaning. No provision of these Terms and Conditions shall be interpreted against the interests of the party drafting such provision.
• This clause ensures that all sections of the terms and conditions are understood as intended and prevents any interpretation that might go against the drafter's intentions, promoting clarity and understanding for all users.

25. Acknowledgment and Acceptance of Terms and Conditions:

These Terms constitute the entire agreement between the User and the Company. By completing the registration process or checking the "I have read and accept the Terms of Use" box, the User indicates acceptance of these Terms.

26. Governing Law and Dispute Resolution:

These Terms shall be governed by the laws of the Republic of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.
